UC 5.4 on windows server 2003 32bit Upgrade Path?

I have UC 5.4 on windows server 2003 32bit.

Could I do a in-place upgrade of Server 2003 32bit to 2008 32bit?

Or should I look at moving to 64bit, I think that is more work because the UC DB will not move over correct?

Server 2003 is end of support in a few months..
